WebAmigo, a data enrichment service ("Service") is provided to you (hereinafter "You or Your") by WebAmigo Technologies LLP (hereinafter "WebAmigo"). This is an agreement between you and WebAmigo that governs your access and use of the Service (hereinafter "Terms"). You affirm and acknowledge that you are of legal age and you have read and understood the Terms. By accessing and using the Service you indicate your acceptance to the Terms and agree to be bound by the Terms. If you do not accept the Terms, do not access and use the Service.
In order to access and use the Service you need to sign up for a user account ("User Account") with WebAmigo. You are responsible for (i) maintaining the security and confidentiality of your user id and password; (ii) all activities that occur in connection with your User Account. You acknowledge that all information provided by you for User Account sign up is true, correct and current.
Subject to execution of an End User License Agreement, WebAmigo hereby grants you a worldwide, non-transferable, non-sublicensable, revocable license to use the Service for your own internal business purposes subject to the Terms.
You agree that you shall not (i) allow third parties to access and use the Service; (ii) cause harm or damage to WebAmigo' resources such as server, network, computer system in course of your use of the Service; (iii) use the Service in violation of applicable laws; (iv) infringe third party rights including third party intellectual property rights.
You must process data that you access, download or receive through the Service only in compliance with applicable data protection laws which may include obtaining consent from the data subject whose personal data is to be processed by you.
WebAmigo privacy policy sets forth the terms and conditions on which WebAmigo processes personal information that WebAmigo collects from you or you provide through the Service.
All copyrights, trademarks and other intellectual property rights associated with WebAmigo and the Service ("WebAmigo IP") are vested with WebAmigo or its licensors. You agree not to use the WebAmigo IP unless authorized by WebAmigo.
You agree to indemnify and hold harmless WebAmigo, its officers, directors, employees, suppliers and affiliates, from and against any losses, damages, fines and expenses (including attorney's fees and costs) for claims arising out of or relating to (i) your use of the Service; (ii) breach of Terms and (iii) infringement of third party intellectual property rights.
YOU AGREE THAT WEBAMIGO SHALL, IN NO EVENT, BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, OR OTHER LOSS OR DAMAGE WHATSOEVER OR FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, COMPUTER FAILURE, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WEBAMIGO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. IN NO EVENT SHALL WEBAMIGO'S ENTIRE LIABILITY TO YOU IN RESPECT OF THE SERVICE, WHETHER DIRECT OR INDIRECT, EXCEED THE FEES PAID BY YOU TOWARDS THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE DATE OF INITIATION OF SUCH CLAIM OR ACTION.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE AND DATA PROVIDED THROUGH THE SERVICE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. WEBAMIGO EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Any dispute or claim arising out of or related to the Terms shall be governed by the laws of India. The parties hereby agree to submit the disputes arising under this Terms to the exclusive jurisdiction of the courts in Chennai.
WebAmigo may modify the Terms at any time. The modified terms will be effective upon posting the modified terms on the WebAmigo site. You are responsible for regularly reviewing the Terms. Your continued use signifies your acceptance of the then current version of the Terms.
